LEGAL
We work at the intersection of finance and law, providing counsel and advice that support activities across the firm. We handle litigation and arbitration, perform research and due diligence, aid in financing and legal filings, deal with contracts and intellectual property rights that show our commitment to clients, shareholders, and regulators. Whether you’re an experienced attorney or a quick learner with a strong interest in financial law coupled with critical thinking skills, our dynamic group might be right for you.
The attorney will be working on the Corporate Governance Legal team within the Legal Division at Goldman Sachs. Attorney will support public company corporate governance for The Goldman Sachs Group, Inc. (GS Group) and governance for the firm’s U.S. banking entity, Goldman Sachs Bank USA (GS Bank) as well as related regulatory and compliance matters.

Among other things, the attorney may be involved in:

Supporting the GS Group and GS Bank Boards of Directors and/or their Committees, including with respect to agenda setting and preparation of materials – such as resolutions, minutes, ancillary materials, talking points, and governance-related presentations
Staying abreast of public company and bank governance trends (including benchmarking of peer practices) and regulatory developments
Reviewing, maintaining and updating as necessary GS Group and GS Bank governance documents, policies and guidelines
Preparation of annual director and officer questionnaires, and managing processes relating to annual director independence determinations
Assistance in managing processes for new director and executive officer onboarding and retirements
Assistance with various regulatory and other requests for data and information relating to GS Group and GS Bank as well as its directors, executive officers and board matters
[Overseeing legal signing authority across GS Bank business lines and support functions]
Interfacing with subject matter experts across the firm, including within Legal, Risk, Audit, Controllers, the Executive Office and others on various public company and bank matters
Assistance with various other governance matters, as needed, including director compensation, the public company proxy statement and annual meeting, other regulatory filings (e.g., FR Y-6, Section 16 filings), trading matters, entity management, board evaluations, among other things

In addition to having first-class legal skills, the ideal candidate should have public company and/or bank corporate governance and securities regulatory experience. An ideal candidate would have at least 5 years of law firm and/or in-house experience that includes corporate governance, securities regulatory and disclosure, executive compensation and/or banking regulatory matters.

Strong project management is essential, and the candidate needs to be able to work well in a high pressure environment and juggle ever-changing priorities. Candidate must be able to pivot regularly, including with respect to areas of focus and must be willing to pitch in wherever is needed.

A proactive, energetic and solutions-oriented approach and excellent judgment are key attributes as well. Impeccable work product and attention to detail are mandatory, given that in many cases the materials being prepared are sent directly to our board and senior management. In addition, eventually the attorney may be liaising directly with senior management, including the General Counsel, and needs to have a professional demeanor and presence and be comfortable working with senior executives and directors.

Experience in managing people is a plus, as attorney will be expected to serve as a mentor and/or formal manager to more junior team members.
