POSITION OVERVIEW

Maesa is seeking an experienced Corporate Paralegal to provide broad-based support to the Legal team across corporate governance, commercial contracts, compliance, legal operations, and other general legal matters. The Paralegal will assist with nondisclosure agreements and other commercial agreements; corporate and regulatory filings; entity management; legal research; and the organization and maintenance of the Legal team’s records, systems, and workflows. The role will also support compliance activities, including policy administration, audits and monitoring, training, regulatory tracking, remediation, and reporting. The ideal candidate has at least five years of relevant corporate paralegal experience, exercises sound judgment, handles confidential information with discretion, and can independently manage multiple priorities in a fast-paced, global environment. The Paralegal will report to the Chief Legal Officer. This role is based in NYC, with an expected in-office presence of at least three days per week.

KEY RESPONSIBILITIES

Support attorneys with commercial agreements and other legal matters by preparing drafts, proofreading documents, comparing versions, incorporating comments, and coordinating internal review and approval.
Draft, review, and revise routine nondisclosure agreements and other agreements using approved templates, forms, and playbooks; identify nonstandard terms and escalate them for attorney review.
Coordinate contract execution, including signature requests, approvals, closing deliverables, and confirmation that fully executed agreements are properly stored and accessible.
Manage and maintain the Legal team’s document repository and contract management processes, including intake, naming conventions, version control, executed agreements, retention, and retrieval.
Support corporate governance and entity management, including preparing and maintaining organizational documents, officer and director records, good-standing certificates, and other required filings.
Assist with legal and factual research and prepare clear summaries, chronologies, correspondence, notices, forms, and supporting materials for attorney review.
Maintain legal trackers, templates, forms, checklists, and process documentation, and recommend practical improvements to Legal team workflows and systems.
Assist with maintaining and updating compliance policies, standards, procedures, controls documentation, and related Legal team records, including support for SOX-related processes where applicable.
Support compliance risk assessments, monitoring, and audit activities by gathering information, documenting processes and controls, maintaining evidence, tracking findings and remediation items, and following up with responsible stakeholders.
Monitor compliance calendars, regulatory developments, training requirements, and other recurring obligations, and escalate deadlines, potential issues, or changes requiring attorney review.
Coordinate compliance communications, certifications, awareness initiatives, and training administration, including scheduling, attendance tracking, recordkeeping, and follow-up.
Assist with preparing compliance reports, dashboards, and status updates for the Legal team and leadership regarding risks, audit findings, remediation progress, and program activities.
Communicate with internal business teams, outside counsel, vendors, government agencies, and other third parties to obtain information, coordinate deliverables, and follow up on outstanding items.
Handle confidential and privileged information with sound judgment, discretion, and appropriate attention to access controls.
Manage multiple assignments independently, prioritize competing deadlines, and escalate legal or business issues appropriately.
Perform other legal and administrative projects and responsibilities as assigned.

QUALIFICATIONS

At least 5 years of relevant corporate paralegal experience in an in-house legal department, law firm, or comparable corporate environment.
Bachelor’s degree or paralegal certificate from an accredited program preferred; equivalent relevant education and experience will be considered.
Demonstrated experience supporting commercial contracts, including nondisclosure agreements, document comparison and proofreading, signature coordination, and management of executed agreements.
Experience with corporate governance, entity management, annual reports, good-standing certificates, organizational records, and routine corporate or regulatory filings.
Experience supporting corporate compliance activities, including policy administration, audits, training, regulatory tracking, controls documentation, issue tracking, or remediation, is preferred.
Strong organizational and project-management skills, with the ability to manage multiple matters, prioritize competing deadlines, and maintain accurate records with minimal supervision.
Excellent written and verbal communication skills and meticulous attention to detail.
Sound judgment and the ability to identify nonstandard issues, work within established guidelines, and escalate matters appropriately.
Ability to collaborate effectively with attorneys, business partners, outside counsel, vendors, and other stakeholders.
Proficiency in Microsoft Word, Excel, PowerPoint, and Outlook; experience with contract lifecycle management, electronic signature, entity management, or other legal operations systems preferred.
Ability to conduct legal and factual research and prepare clear, concise summaries and supporting materials.
Proven ability to handle confidential and privileged information with discretion and professionalism.
Experience in a consumer products, beauty, private-equity-backed, or global organization is a plus.
