Job Summary
Capital Markets Associates support clients across public and private securities offerings, equity and debt issuances, initial public offerings, leveraged financing transactions, acquisition financing, and ongoing reporting matters. Associates draft and review offering documents, prospectuses, registration statements, transaction agreements, disclosure materials, securities filings, corporate governance materials, and proxy statements. Associates also research and apply federal securities laws, stock exchange rules, market practice, and regulatory guidance to help clients complete transactions efficiently and meet disclosure and compliance obligations. This position requires the associate to coordinate with clients, colleagues, opposing counsel, intermediaries, and regulators while managing timelines, deliverables, and legal risk.
Key Responsibilities
Advise clients on capital markets transactions, including public offerings, private placements, equity issuances, debt issuances, initial public offerings, and other securities financing matters.
Draft, review, and revise prospectuses, offering memoranda, registration statements, private placement documents, underwriting agreements, purchase agreements, comfort letter materials, closing documents, and related transaction documents.
Prepare and review securities filings, disclosure documents, corporate governance materials, proxy statements, board materials, and other documents connected to reporting, governance, and transactional matters.
Conduct legal due diligence, identify transaction issues, assess disclosure concerns, and help clients address legal and regulatory risks.
Research and analyze questions arising under the Securities Act, the Securities Exchange Act, the Investment Company Act, the Investment Advisers Act, rules and guidance issued by the Securities and Exchange Commission, Financial Industry Regulatory Authority rules, and stock exchange requirements.
Support clients with ongoing reporting obligations, disclosure controls, corporate governance practices, and compliance with securities laws and market standards.
Coordinate with deal teams through all stages of a transaction, including planning, drafting, diligence, negotiation, filing, signing, closing, and post-closing follow-up.
Communicate clearly with clients, colleagues, opposing counsel, financial advisers, intermediaries, and regulators to advance transaction documents, resolve issues, and meet deadlines.
Monitor legal developments, regulatory changes, disclosure trends, and market practice affecting capital markets transactions and public company matters.
Manage multiple active matters, set priorities, track deliverables, and complete work accurately under time-sensitive conditions.
Use artificial intelligence technologies responsibly and ethically to support legal research, drafting, review, analysis, and workflow efficiency while maintaining professional judgment, confidentiality, and compliance with firm policies.
Required Education and Legal Capabilities
Juris Doctor degree from an accredited law school or equivalent legal education.
Active member in good standing of the New York State Bar or currently licensed in another jurisdiction and eligible for immediate admission to the New York State Bar by motion or reciprocity, or eligible to sit for the next scheduled New York State Bar examination.
2 to 6 years of relevant experience in capital markets, securities law, public company representation, or comparable transactional practice.
Experience representing corporate issuers, investment banks, financial institutions, or other participants in equity capital markets, debt capital markets, public offerings, private placements, or related securities transactions.
Strong knowledge of securities laws, securities filings, disclosure obligations, corporate governance requirements, and market practice.
Proven ability to draft, review, revise, and negotiate transaction documents, offering materials, disclosure documents, and ancillary agreements with accuracy and sound judgment.
Strong legal research, analytical, problem-solving, organizational, and project management skills.
Ability to communicate clearly, build effective client relationships, collaborate with internal and external teams, and manage multiple deadlines in a fast-pace legal practice.
Proficiency in using artificial intelligence technologies responsibly and ethically in legal practice, including the ability to evaluate outputs, protect confidential information, and apply independent professional judgment.
