Description
Eclipse Advantage is seeking a Staff Counsel to serve as a business generalist to support a variety of legal functions impacting the organization including but not limited to employment counseling, litigation management, regulatory compliance with a focus on wage and hour matters, dispute resolution, commercial contracts life-cycle and risk management. The Staff Counsel will report directly to the General Counsel.
What You'll Do
Employment Counseling
Act as a legal escalation point to advise HR on employee life-cycle matters including hiring, policy development, performance management, leave management, investigations, terminations and post termination.
Litigation Management
Work with outside counsel to manage litigation across multiple states.
Handle e-discovery using internal resources.
Regulatory Compliance
Research and understand the laws that apply in the various locations where we conduct business.
Participate in advice and training with regard to said laws.
Interface with local, state and/or federal agencies related to compliance matters.
Assist in development of A.I strategy, policies and procedures.
Assist in maintenance of data privacy strategy, policies and procedures.
Dispute Resolution
Handle disputed matters prior to and with a goal of avoiding litigation, including agency complaints and inquiries, employee complaints, and customer and vendor disputes.
Handle subpoena and record requests.
Commercial Contract Life Cycle
Draft, review and negotiate client and vendor contracts including those involving SAAS and licensing of technology.
Regular maintenance of contracts to address developments and changing circumstances.
Maintain standard templates (MSAs, NDAs) to support efficient and fast-paced sales cycles.
Risk Management
Collaborate with Risk Management Department to support insurance program.
Proactively identify, escalate and resolve significant risks to the business that overlap with various areas of legal support.
Qualifications Required
Juris Doctor (J.D.): Degree from an accredited, top-tier law school.
Bar Admission: Active member in good standing with the State Bar in CA, IL, NJ, NY or PA .
Able to handle a fast-paced environment without significant oversight.
Able to work independently without significant administrative support.
Able to lift/carry approximately 10-15 pounds with or without reasonable accommodation.
Professional Experience
Experience Level: 3 to 5 years of practicing corporate or employment law with a top-tier law firm; in house experience a plus.
Experience with State and Local wage and hour laws including California PAGA litigation
Employment Law: Strong foundation in employment litigation, workplace investigations, and drafting HR policies and training.
Commercial Contracts: Experience drafting and negotiating client and vendor agreements is a plus.
Experience in the staffing or logistics industries is a plus.
