Job description
This role demands a unique blend of deep enterprise architectural expertise, financial acumen, and deal-velocity execution. You will lead transactions through two distinct phases: driving technical due diligence pre-close to inform valuations, and orchestrating complex integration or separation activities post-close. This role reports to Senior Director, M&A Global Technology. This is a hybrid position and involves regular performance of job responsibilities virtually as well as in-person at an assigned TU office location for a minimum of two days a week.
Role Overview and Core Responsibilities
1. Pre-Close: Due Diligence & Deal Formulation
Technical Due Diligence: Lead deep-dive architectural assessments of target companies' infrastructure, application stacks, code quality, and data layers to identify technical debt, scalability limits, and operational risks.
Target State Architecture: Define and articulate strategic options to align target companies' applications, data assets, and back-office systems with TransUnion's global enterprise architecture and InfoSec standards.
Cost Modelling & Synergy Capture: Build detailed, data-driven technology cost models during diligence, forecasting the capital expenditures (CapEx) and operational expenses (OpEx) required for migration or standalone readiness.
Deal Team Collaboration: Partner closely with Corporate Development and Business Development teams to feed technology risks, integration costs, and runway synergies directly into the final financial deal valuation.
2. Post-Close: Integration, Carve-Outs, & Separation
Integration Roadmap Execution: Design and execute detailed post-close technology integration schedules, transitioning targets smoothly from Day 1 readiness to full target-state operations.
TSA Execution & Exit Management: Define, operationalize, and govern technology Transition Service Agreements (TSAs) for divestitures; rigorously track delivery milestones to ensure rapid, secure TSA exits and eliminate stranded costs.
Cloud & Infrastructure Consolidation: Drive the physical and logical consolidation of global cloud environments (AWS/Google Cloud Platform/Azure), legacy data centers, and enterprise back-office systems.
Financial Tracking & Governance: Manage and track post-close technology integration budgets, monitoring actual spend against pre-close forecasts and reporting variances directly to executive leadership.
Strategic Technical Leadership: Act as the primary executive escalation point to unblock engineering teams, resolve complex architectural bottlenecks, and align cross-functional streams (Legal, HR, Security).
