About the Job:
As Corporate and Securities Counsel, you will play a key role in supporting Rent the Runway’s securities and corporate governance matters. You will have an influential cross-functional role and opportunity to positively impact both key compliance initiatives and our culture. The role requires experience in U.S. corporate and securities law, with demonstrated exposure to capital markets, governance, and public company compliance.

You will report to the Chief Legal & Administrative Officer and work collaboratively with the other members of RTR’s Legal team. We are an “office centric” company and you will work from Rent the Runway’s Brooklyn headquarters Monday – Thursday.

What You’ll Do:
Play a central role in all public company reporting processes, including leadership oversight of proxy statement preparation, Section 16 reporting compliance, Form S-8s, and the Annual Meeting of Stockholders.
Advise on Nasdaq listing requirements and related matters; prepare necessary filings and notices.
Advise on corporate governance topics and prepare high-quality, plain English Board meeting materials, resolutions/minutes, and governing documents, and maintain Board records.
Review external communications from a securities law perspective, including press releases, investor presentations, media, and significant internal communications.
Advise on executive compensation matters and related disclosure requirements, including supporting the equity administration team on the legal aspects of the Company’s equity program.
Oversee the Company’s compliance program with respect to the Code of Conduct, insider trading, and Reg FD.
Become familiar with the Company’s credit facility, IRA and related financing and investor documents and help ensure continued compliance with all covenants and requirements.
Support/advise on any future capital raising, M&A, and other strategic transactions. Oversee setup and administration of any diligence portals and virtual data rooms.
Oversee entity management and corporate filings (local, state, and national). This includes governance support and recordkeeping for RTR’s subsidiary in Galway, Ireland, including facilitating annual board meetings and filings.
Manage outside counsel.

You Should Have:

JD and NY bar membership or registration as an in-house attorney in NY.
3+ years of relevant public company experience.
M&A and corporate finance experience is a plus.
Executive compensation experience is a plus.
Strong ability in Excel and Google Suite.
Experience with Diligent, Workiva and Shareworks is a plus.
Systemic and process-driven thinker who is excited about scaling RTR’s Legal services.
The ability to translate legal issues into clear, “plain English” guidance and business solutions for non-lawyers.
A highly collaborative approach, while also exercising sound judgment as a subject matter expert.
An ability to interact effectively at all levels of the organization in a fast-paced environment while building strong relationships and influence across departments.
An ability to prioritize and manage multiple critical projects under tight deadlines.
